Express Order Terms

By clicking a box indicating your acceptance of these Express Order Terms or by executing an Order Form that incorporates these Express Order Terms, you are entering into a legally binding agreement between Samsara Inc. (“Samsara”) and on behalf of the customer designated on the Order Form (“Customer” or “You” or “you”) subject to these Express Order Terms. Samsara and Customer each acknowledge and agree that your purchase and use of Products is governed by and subject to these Express Order Terms and the Samsara Terms of Service available at https://www.samsara.com/legal/platform-terms-of-service (“Terms of Service”). Capitalized terms used but not defined herein shall have the respective meanings given to them in the Terms of Service.

License Term

The license term for the Samsara Software licenses purchased under an Order Form begins on the day Samsara activates the applicable Samsara Software license by providing you a claim number and access to the Hosted Software (“License Start Date”) and shall expire on the License Expiration Date. If Hardware associated with a then-unactivated Samsara Software license will be shipped to you under an Order Form, such Samsara Software license will be activated on the day the Samsara Hardware ships. Notwithstanding the foregoing, if you are renewing the license term for a previously-activated Samsara Software license under an Order Form, the License Start Date for the renewal license term shall be the day that Samsara extends your access to the Hosted Software for the renewal license term. Samsara Hardware requires a valid license to function.

Samsara may renew your license in accordance with the Terms of Service. Please email renewals@samsara.com for any questions regarding automatic renewal.

Product Refund Requests

If you are dissatisfied with your Samsara purchase, you may be eligible to return your Product purchase made under an Order Form. Please see the Product Refund Requests section at https://www.samsara.com/support/hardware-warranty/ for more details.

Payment Terms

You agree to pay your recurring fee (e.g., monthly if you selected Monthly Payments, yearly if you selected Annual Payments) either via a recurring credit card or direct debit charge. Payments made by a credit card may be subject to a processing fee up 3%, subject to applicable law. Late payments are subject to a 1.5% per month late fee. If payments are delinquent by thirty (30) days, Samsara may suspend or terminate your access to the Hosted Software until late payments are remitted.

Payment Authorization

By placing your order on Samsara's website, you authorize regularly scheduled charges to your payment method, which must be either via credit card or direct debit transaction. You will be charged the amount indicated in your account each billing period. The charge will appear on your account statement as ”samsara”.

You agree that no prior notification will be provided unless the date or amount changes, in which case you will receive notice from Samsara at least 10 days prior to the payment being collected.

This authorization will remain in effect until you cancel it in writing, and you agree to notify Samsara in writing of any changes in your account information or termination of this authorization at least 15 days prior to the next billing date. In the event you elect to cancel your authorization in writing, you must provide Samsara with a new credit card or direct debit payment method, and you agree to authorize regularly scheduled charges to this new payment method. If the above noted payment dates fall on a weekend or holiday, the applicable payments may be executed on the next business day. For credit card or direct debit transactions, these funds may be withdrawn from your account as soon as the above noted periodic transaction dates. In the case of a credit card or direct debit transaction being rejected for Non-Sufficient Funds (NSF), Samsara may at its discretion attempt to process the transaction again within 30 days, and you agree to an additional fee for each attempt returned NSF, along with any applicable late fees specified in your Payment Terms, which will be initiated as a separate transaction from the authorized recurring payment. You acknowledge that the origination of credit card and direct debit transactions to your account must comply with applicable law. You certify that you are an authorized user of the direct debit account or credit card that you authorize for payment hereunder and will not dispute these scheduled transactions with your bank or direct debit or credit card company so long as such transactions correspond to the terms set forth in this authorization.

Changes to Express Order Terms

Samsara may modify these Express Order Terms at any time, in our sole discretion. If Samsara does so, Samsara will post the modified Express Order Terms to our website or through other communications with you. It is important that you review the Express Order Terms whenever Samsara modifies them because if you continue to use the Products after Samsara has posted or otherwise informed you of the modified Express Order Terms, you are indicating to Samsara that you agree to be bound by the modified Express Order Terms. To the extent there is a conflict between the terms in the applicable Order Form and these Express Order Terms available at https://www.samsara.com/legal/express-order-terms, these Express Order Terms available at https://www.samsara.com/legal/express-order-terms shall control.
